Ringy B2B Terms & Conditions

• These Terms apply to all purchases made via the Ringy B2B platform, by e-mail or other ordering channels.
• You confirm that you are a valid legal person (company, organization) and that consumer protection law does not apply.
• We may amend these Terms unilaterally from time to time; changes will be notified on the platform or by email.

• Access to the platform requires registration of a business account.
• You agree to provide accurate and current business details, including your registered legal name, VAT ID, billing and delivery addresses.
• You are responsible for maintaining confidentiality of your login credentials and for all activity on your account.
• We may verify your business credentials and may suspend or terminate your account if we reasonably suspect misuse or risk.

• All products listed are refurbished electronic devices graded according to our published grading standards.
• Prices are exclusive of VAT, taxes and shipping unless stated otherwise.
• Prices and availability may change without prior notice. A contract is formed only upon order confirmation by Ringy.

• Orders placed via the platform are legally binding once submitted and confirmed by us.
• We reserve the right to refuse or cancel orders at our discretion (e.g. credit risk, sanctions checks).
• Minimum order values or quantities may apply where published on the platform.

• Payment terms (e.g. prepayment, net terms) will be agreed at account setup or specified during checkout.
• Invoices are payable in accordance with the agreed terms. Late payments may incur interest and may result in order cancellation.
• Unless otherwise agreed, all sums are payable free of set-off or deductions.

• Delivery costs and timing depend on destination and chosen shipping method. Estimated timelines are indicative only.
• Risk of loss or damage passes to you when goods are given to the carrier or taken to a collection point.
• You must inspect deliveries upon receipt and notify the carrier and Ringy of any visible damage.

• Returns are governed by Ringy's separately published Return Policy.
• Warranty on products, if any, will be described in product details and applicable RMA procedures must be followed.
• Warranty does not cover misuse, unauthorized modification, normal wear and tear, or non-adherence to instructions.

• All content on the Ringy platform (logos, text, images, trademarks) is our property or our licensors'.
• You may not use any Ringy intellectual property without prior written permission.

• To the maximum extent permitted by applicable law, Ringy will not be liable for indirect, incidental, consequential, loss of profit, data or business interruption claims.
• Ringy's total aggregate liability in respect of any claim shall not exceed the amount paid by you for the products giving rise to the claim.

• You agree to comply with all applicable export, import, trade control and sanctions laws and regulations.
• You will not export, re-export or otherwise make products available to prohibited jurisdictions or persons subject to sanctions.

• These Terms and any disputes arising from them are governed by the laws of the Republic of Estonia.
• Parties shall first seek amicable resolution; if unresolved, disputes will be settled in the competent courts of Estonia.

• We reserve the right to modify or update these Terms at any time without prior notice.
• Updated Terms will be effective upon posting on the platform.
